    End-User License Agreement

    This TextMP3 Pro End-User License Agreement (“the Agreement”) is anagreement between the user (“the User” or “you”), and IQ Technology (“the Company” or “we”), regarding whether and how to use “TextMP3 Pro” (including the software program, user manual, point recharge packages, etc.; “the Software”). By installing or using the Software, you agree to be bound by the Agreement and are willing to comply with the following terms. If you do not agree to be bound by the Agreement, please do not install or use the Software.

     

     

    1. Terms of License

     

    Subject to your compliance with the Agreement, the Company grants youa non-exclusive, non-transferable, and non-sublicensable license to use the Software, allowing you to create voice content (“Voice Content”) within the scope authorized by the Company during the license period.

     

    If you have purchased the Software (“Paid User”), you may use theText-To-Speech (TTS) functionality provided by the Software to generate TTS voice and use such TTS voice for commercial purposes within the valid usage period and point limits. You should retain the invoice and license serial number for the Software purchase as proof.

     

    The Software can integrate TTS voice, external audio files, andbackground audio files to create richer Voice Content. However, you must ensure that any external audio files and background audio files used are legally licensed. The Company assumes no responsibility for any external audio files or background audio files used by you.

     

     

    2. Scope of License

     

    2.1 Unless otherwise agreed between the Company and you, you shall notengage in the following actions:

     

    A. Sell or rent the Software in any manner;

    B. Transfer the rights granted to you by the Company to any thirdparty;

    C. Modify the Software, extend the usage period, increase usagepoints, misuse the Software key, decompile the Software, or conduct any other reverse engineering using methods or forms not provided by the Company;

    D. Engage in any actions that violate the Software’s usageinstructions or any applicable laws.

     

    2.2 You shall not use TTS voice for the following purposes:

     

    A. Pornography, profanity, defamation, slander, extortion, fraud,harassment, gambling, discrimination, offense to religion or race, incitement of hatred, incitement of terrorism or crime, exploitation or manipulation of children;

    B. Creating false information or advertisements, deceiving orintentionally misleading people;

    C. Making unsolicited calls or mass communications;

    D. Impersonating any person, or claiming to be from any person,company, or government agency without explicit permission;

    E. Infringing on the intellectual property rights or privacy rights ofothers;

    F. Any other illegal purposes.

     

    2.3 You must clearly inform end users that the TTS voice they hear isgenerated by AI and not a real human voice.

     

    2.4 If you violate the above restrictions, the Company has the rightto immediately revoke your license to use the Software and the TTS voice without notice. If your violation causes damage to the Company, the Company will seek compensation from you in accordance with the law.​

     

    2.5 If you have not purchased the Software, you are strictlyprohibited from using the TTS voice or Voice Content generated by the Software for commercial purposes, nor may you provide it to third parties for any form, method, or purpose of use.

     

     

    3. Intellectual Property Rights

     

    The intellectual property rights of the Software and its copies areowned by the Company. Unless otherwise agreed between the Company and you, the Agreement does not grant you any intellectual property rights in the Software.

     

    The intellectual property rights of the third-party TTS voice servicesconnected to the Software (including but not limited to services from companies such as ReadSpeaker, Microsoft) belong to those third parties and are protected by copyright laws and international intellectual property treaties. However, if you are a Paid User, you may use the TTS voice generated by the Software for commercial purposes (including but not limited to reproduction, adaptation, distribution, public recitation, public broadcasting, public screening, public performance, public transmission, etc.), if you comply with the Agreement.

     

    Some sample pronunciation files in the Software include music andsound effects provided by third parties (such as Pixabay). The Company assumes no responsibility for your use of these audio files. You must ensure that any external audio files and background audio files you use have been legally licensed.

     

     

    4. Limited Warranty for Defects

     

    The Software is delivered to you on an “as-is” basis. The Companyguarantees that, within the valid usage period, usage points, and reasonable usage scope, the Software will operate according to the announced supported computer environment and the accompanying software user manual, without any defects that reduce its value or primary functionality. This limited warranty for defects does not cover (i) any issues arising from user error, misuse, non-compliance with instructions, or events beyond the Company’s reasonable control; (ii) any issues or errors resulting from the use of incompatible programs with the Software.

     

    The limited warranty for defects of the Software is provided only to PaidUsers within the valid usage points period or one year after the activation of the oftware (whichever is longer; “the Warranty Period”). The Company does not guarantee that the Software will permanently meet the ever-changing demands of your computer or network environment, nor does it guarantee that the Software will be free from interference or errors resulting from updates to the mputer
    or network environment.

     

     

    5. Compensation for Damages

     

    To the maximum extent permitted by law, the Company shall not beliable for any direct or indirect damages incurred by you as a result of using or being unable to use the Software (including but not limited to loss of business profits, business interruption, loss of business data, other monetary losses, or other similar circumstances).

     

     

    6. Customer Service

     

    During the Warranty Period, the Company provides free warranty andcustomer service to Paid Users. You can seek services through the following channels:

    7. Privacy Terms

     

    The text materials you input and the Voice Content output while usingthe Software are stored only on your computer. The Company will not access, store, or retain the text materials you input or the Voice Content output while using the Software.

     

    To protect and respect your rights, the Company’s collection,processing, and use of your personal data must comply with the Personal Data Protection Act, the Company’s Privacy Policy (https://www.iqt.ai/privacy), and these Privacy Terms. Since these Privacy Terms are specifically designed for the Software, they shall take precedence over the Company’s Privacy Policy in the event of any conflict. The Company may collect your contact information, order details, and customer service data to improve the product and provide customized services, but will never sell or share this information with third parties.

     

    By installing or using the Software, you also agree to the privacypolicies and terms of service related to the third-party TTS voice services connected to the Software (“the Third-Party Services”). For example, Microsoft Azure Speech Services is governed by Microsoft’s privacy policy and terms of use. Microsoft does not retain your text materials and Voice Content, nor does it use these materials for AI learning and training. For relevant policies and terms, please refer to:

    8. Updates

     

    The Company may occasionally release updated versions of the Software(“Updates”). You have the right to choose not to install the Updates; however, after the release of an Update, the Company may limit or cease to provide technical and customer support for older versions of the Software.

     

     

    9. Right to Amend

     

    In response to the rapid development of AI technology, the Softwarecontinuously integrates and updates third-party TTS voice services. The Company reserves the right to amend the Agreement. If you install or use the Software after changes to the Agreement, it will be deemed that you have accepted the amended Agreement.

     

     

    10. Termination

     

    If any of the following situations occur, the Agreement willautomatically terminate. Upon termination, you must delete the Software and its copies, including all related document files, and cease using the Software:

     

    A. Failure to complete payment;

    B. Failure to comply with any terms of the Agreement;

    C. Expiration of the Software license;

    D. No remaining valid usage points.

     

     

    11. Governing Law and Jurisdiction

     

    The Agreement shall be governed by thelaws of the Republic of China (Taiwan). In the event of any litigation arising from the Agreement, the Taiwan Taipei District Court shall be the court of first instance.
